YOUR OFFSHORE PARTNER

Many asset managers are looking to internationalise their business by setting up offshore asset management companies and creating fund structures domiciled across various offshore jurisdictions. Due to the global project to address tax base erosion and profit shifting combined with the recent economic substance requirements, this is often too time consuming, complex and expensive to achieve independently. Our depth of experience, strategic involvement and hands on client approach allows us to deliver an affordable solution, tailor made to accommodate clients across all asset classes.

What we specialise in

Investment Management

  • We create offshore asset management companies through our established Guernsey incorporated cell company (“ICC”). The ICC consists of a core and a number of incorporated cells (“IC”), with each IC materially benefitting from the cost rationalisation that exists within our structure. Each IC is a separate legal company with shares being issued to shareholders who are different for each IC and different from the shareholders of the core. The core and each IC are licenced and regulated by the Guernsey Financial Services Commission.
  • We provide two available options within our structure:
    • The incorporation of your own IC, wholly owned by you, to act as an asset manager; or
    • The appointment of an existing IC, wholly owned by the core of the ICC, to act as an asset manager on your behalf.
  • In both instances, we manage the full set up process and the on-going day to day operations. Our team of experienced personnel will deal with all your risk management, accounting, compliance, regulation, investor relations, marketing and business development requirements.
  • We also have experience in launching asset management companies independently from our ICC.

Fund Structures

  • We specialise in the creation of offshore fund structures, tailored to meet the specific needs of investors, regulators and asset managers.
  • We have a specialised team that takes care of initiating, structuring and implementing the funds from start to finish including but not limited to:
    • Drafting the fund documentation (Prospectus, Explanatory Appendix, Supplemental, Investment Management Agreement, Investment Advisory Agreement
    • Appoint all the service providers (Administrator, Custodian, Prime Broker, Independent Directors, Auditor, Compliance Officer, MLR Officer)
    • Deal with all the regulatory requirements (Regulatory approval, ISIN, GIIN, CRS, FATCA, AIFMD)
  • We deal with managing the continuing day to day operations of these particular fund structures, we can assist with the following functions:
    • Mandate Compliance
    • Risk Management
    • Trading and execution
    • Checking the management and performance fee calculations and fee accruals
    • Valuation review
    • Preparing marketing material
    • Marketing the fund to investors in various jurisdictions

Our Team

Maree Wilms
Chief Executive Officer and Founder

Maree has over 20 years’ experience in the asset management industry. She started her career at Adelphi Capital, a London based hedge fund manager where she was involved in structuring, capital raising and launching the Small Cap Fund and the Emerging Markets Fund. She was then appointed to the investment team and worked as an Investment Analyst, starting out as a generalist covering large cap UK & European stocks before specialising in analysing companies in the retail, food and luxury goods sector. Maree joined South Africa Alpha Capital Management as their Chief Operating Officer in 2010.She was involved in structuring and raising capital for over 20 funds on the Cayman SPC fund platform, reaching a peak AUM of close to $1 billion, as well as a Guernsey PCC fund platform. Maree co-founded Zeta Asset Management in 2017. Maree also sits on several fund boards and investment and risk committee’s and has recently been appointed as a Chair of the South African Chamber of Commerce UK Women’s Chapter. Maree graduated with a 1st class LLB (Hons) degree and holds an Investment Management Certificate issued by the CFA Society (UK).

Jonathan Hertz
Executive Director and Founder

After qualifying as an actuary, Jonathan was appointed managing director of Safrican, a leading low cost insurer in South Africa before joining Peregrine in 2000 as Chief Operating Officer.In 2006, Jonathan co-founded Caveo Fund Solutions, a fund of hedge fund business, as a joint venture between Peregrine and Investment Solutions. Today, the business is the largest fund of hedge funds in South Africa with more than ZAR10bn in assets under management. In May 2008, he founded South Africa Alpha Capital Management (“SAACM”), a Bermuda domiciled investment management business housing the US Dollar class of several of the leading hedge funds trading in Sub-Saharan African securities. SAACM currently manages and advises funds with around USD750 million in assets under management. In 2013, he joined Peregrine Holdings Limited as their Chief Executive Officer, a post he held until August 2017. He co-founded Zeta Asset Management in 2017.

Matthew Wrigley
Non-Executive Director 

Matt Wrigley was a partner at asset management advisory firm, MJ Hudson. In his fifteen years in alternative assets, he has gained experience through a mix of legal and commercial roles, including serving as General Counsel for a fund management company listed on the Australian Securities Exchange with AUD 1.3 billion assets under management, Chief Operating Officer of investment trust listed on the Singapore Securities Exchange with a market capitalisation of SGD 600 million, and with leading global law firm, Baker McKenzie. He also sits on several fund and general partner boards, with strategies spanning private equity, infrastructure and real estate. Mr Wrigley is a Solicitor of the Supreme Court of Queensland Australia, holds a Bachelor of Laws (LL.B) from the University of Queensland and is a resident of Guernsey.

Mark Finlayson 
Chief Operating Officer

Mark is involved with the day to day operations of Zeta, while also providing legal support and advice in relation to investment funds and corporate structures. He also sits on the boards of certain Zeta structures. Mark has over 10 years’ experience as a corporate and finance lawyer. Prior to joining Zeta, he practised at Walkers Global, a leading offshore law firm, where he was a member of the Banking and Finance practice in Guernsey. Prior to moving offshore, Mark practised corporate law at Tugendhaft Wapnick Banchetti before he joined a private company where he held an executive position for over 5 years, focusing on sales and operations across southern Africa. Mark was admitted as an attorney in South Africa in 2007, and holds a LLB (Hons) degree and a LLM degree.

Jeanette Mogg 
Chief Financial Officer

Jeanette joined Zeta in August 2018. Jeanette has worked in the Hedge Fund industry for 11 years. She started her career as a Chartered Accountant working in Corporate Finance for a boutique firm, moving onto opening her own consulting business in accounting and financial management, later specialising in financial and investment operations and reporting. She has an eye for detail, enjoys complex reporting and has extensive knowledge of Excel/VBA.

Angus Hunter 
Senior Manager

Angus joined Zeta in July 2021 as a Senior Manager. He has over 8 years of financial services experience and is a Chartered Accountant having qualified with Ernst & Young and progressed to Audit Manager within 5 years. While at Ernst & Young, he obtained experience working on multinational listed alternative investment companies, asset managers, insurance captives and PE funds. Prior to joining Ernst & Young, Angus obtained two years experience as a financial consultant specializing in government investment incentives within the manufacturing sector. He has a BCom (Hons) in Economics and was awarded the top qualified CA in Guernsey prize in 2018.

Chris Bunney 
Governance Manager

Chris joined Zeta in 2020 as Governance Manager. Chris has over 4 years’ involvement in the Guernsey finance industry, having started his career with a local administration company with exposure to worldwide funds and asset managers. He specialises in the corporate secretarial and governance sectors and has experience with local and international requirements concerning anti-money laundering, cyber security, and data protection. Chris graduated with a First Class BA (Hons) degree from the University of Southampton and holds the ICSA Level 5 Diploma in International Finance and Administration at distinction, achieving the best paper globally in one of the modules forming part of that qualification.

Matt de Carteret
Fund Operations Manager

Matt has spent 12 years within the Guernsey fund industry gaining knowledge of the day to day operations of fund administration functions. He has sound knowledge of valuation preparation, oversight and fund accounting processes. During this time, he has completed the International diploma in fund administration (IDFA), CLT certificate in fund administration and CLT diploma in retail funds.

Natalie McCarthy  
Operations Administrator

Natalie has been employed in the Guernsey fund industry for over 10 years. She began working in fund administration for a large international bank before moving to a locally owned fund administration company. During her time in the industry Natalie has successfully completed the CLT Certificate in Fund Administration and gained invaluable knowledge of the fund industry, particularly in valuations.

Aini Graca da Silva
Finance / Fund Operations

Aini has over 20 years of experience working in accounting, logistics and project management in the banking, securities, IT and non-profit sectors. After completing her Bachelors in Economics from Trisakti University in Jakarta, she worked for a stockbroker firm trading on the Jakarta Stock Exchange. She moved to the UK and completed her Masters degree from Brunel University Business School in London. Prior to joining Zeta, she has worked in various industries and has managed international projects across the globe.
